These Terms of Service (“Terms”) govern your access to and use of the websites, applications, and services provided by With Managed (“we”, “us”, “our”).

By creating an account, accessing our websites, or using any part of our Services, you agree to be bound by these Terms.

If you do not agree, you must not use the Services.

1. Definitions

• "Services" means the With Managed platform, marketplace, mobile and web applications, and all related products, content, and functionality.
• "User" or "you" means any individual or organisation accessing or using the Services.
• "Business User" means a salon, clinic, practitioner, or other business using the Managed platform to manage operations or accept bookings.
• "Client" means any individual making a booking, purchase, or communication through the platform.
• "Agreement" refers collectively to these Terms, our Privacy Policy, Cookie Policy, and Data Processing Agreement (where applicable).

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract.

Business Users warrant that they are duly authorised to represent and bind their business or organisation.

3. Account Registration

To use certain features, you must register for an account. You agree to:

• Provide accurate and complete information;
• Maintain confidentiality of your login credentials; and
• Notify us immediately of any unauthorised access.

We reserve the right to suspend or terminate accounts that violate these Terms or our acceptable-use policies.

4. Use of Services

You agree to use the Services only for lawful purposes and in accordance with these Terms.

You must not:

• Copy, modify, or reverse-engineer any part of the platform;
• Use the Services to send spam, illegal, or defamatory content;
• Attempt to gain unauthorised access to our systems;
• Misuse booking, payment, or messaging features.

5. Subscriptions and Payments

Certain features are provided under subscription plans.

• Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected).
• Payments are processed via Stripe or other authorised payment processors.
• All fees are exclusive of VAT unless otherwise stated.
• We may revise pricing with reasonable notice. Continued use after notice constitutes acceptance of the new fees.

Failure to pay may result in suspension or termination of Services.

6. Platform Use by Businesses

Business Users acknowledge that:

• They are the data controller of their clients’ personal data.
• With Managed acts as their data processor, subject to the Data Processing Agreement.
• They are solely responsible for the accuracy of information displayed on their listings, marketing materials, and communications with clients.
• They must comply with all applicable laws, including consumer protection, advertising, health and safety, and data-protection regulations.

7. Bookings and Client Transactions

All transactions between Business Users and Clients are agreements between those parties.

With Managed provides the digital platform only and does not act as agent, insurer, or guarantor.

We are not liable for the conduct, performance, or quality of any service offered by a Business User.

8. Marketing and Communications

We may send service-related or marketing communications in accordance with your preferences and our Privacy Policy.

Users may opt out of non-essential marketing at any time.

9. Intellectual Property

All intellectual-property rights in the Services (including software, design, and content) remain owned by With Managed or its licensors.

You are granted a limited, non-exclusive, non-transferable licence to use the Services for your own lawful business purposes.

No rights are granted other than those expressly set out in these Terms.

10. Third-Party Services

The Services may integrate with third-party tools such as Stripe, Twilio, Meta, Google, and AWS.

We are not responsible for third-party terms, privacy practices, or availability.

Your use of third-party services is at your own risk and subject to their respective agreements.

11. Data Protection

All personal data is handled in accordance with our Privacy Policy, Cookie Policy, and Data Processing Agreement (where applicable).

Business Users are responsible for ensuring their own compliance with UK GDPR as independent controllers.

12. Availability and Maintenance

We aim to provide continuous, secure access to the Services but do not guarantee uninterrupted availability.

Maintenance or upgrades may result in temporary downtime, for which we are not liable.

13. Limitation of Liability

To the fullest extent permitted by law:

• We exclude all implied warranties and conditions relating to the Services;
• We are not liable for any indirect, incidental, or consequential losses (including loss of profit, business, or data);
• Our total aggregate liability arising under or in connection with the Services shall not exceed the total fees paid by you in the 12 months preceding the claim.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

14. Indemnity

You agree to indemnify and hold harmless With Managed from any claims, damages, or losses arising out of your breach of these Terms, misuse of the Services, or violation of any law or third-party rights.

15. Termination

We may suspend or terminate your account immediately if you breach these Terms or use the Services unlawfully.

Upon termination:

• Your right to access the Services ceases immediately;
• Outstanding fees remain payable; and
• We may delete or anonymise your data after any legally required retention period.

16. Changes to These Terms

We may update these Terms periodically.

Material changes will be notified through our websites or email.

Continued use after changes take effect constitutes acceptance of the revised Terms.

17. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
